A typical sell-side engagement will involve the following key elements:

  • Define your transaction objectives including determining the likely market value of your business to understand potential sale price

  • Preparation of business marketing materials including an Information Memorandum to clearly articulate and promote the prospects and opportunities offered by your business to potential buyers

  • Identify a comprehensive list of potential strategic and financial buyers

  • Make initial contact with potential buyers and distribute business marketing material

  • Oversee management presentations, site visits and the due diligence process

  • Work with your other corporate advisors (e.g., legal, tax, accounting) to anticipate and manage potential issues that may arise during the transaction

  • Negotiating and structuring the transaction to achieve the best possible price and terms.
